Terms of Service

1. Agreement

By accessing or using Charles ("the Service"), provided by SovrinTech ("we", "us"), you agree to these Terms of Service. If you do not agree, do not use the Service.

2. Service description

Charles is a local-first AI development agent distributed as a desktop application and CLI tool. The Service includes the software, associated APIs, and the charlesapp.io platform for account management and billing.

3. Accounts

You must create an account to use Charles. You are responsible for maintaining the security of your account credentials. You must be at least 18 years old or the legal age in your jurisdiction.

4. Subscriptions & billing

Paid plans are billed monthly through Stripe. You may cancel at any time; access continues until the end of your billing period. Token limits reset monthly. Refunds are handled on a case-by-case basis within 14 days of purchase.

5. Acceptable use

You may not: reverse engineer, redistribute, or sublicense the software; use the Service for illegal purposes; attempt to bypass usage limits or authentication; share account credentials; or interfere with the Service's infrastructure.

6. Your data

Charles runs locally on your machine. Your code, files, and project data remain on your device and are not transmitted to our servers unless you explicitly use cloud features. Account data (email, subscription status, usage metrics) is stored on our servers.

7. Limitation of liability

The Service is provided "as is" without warranty. SovrinTech is not liable for any damages arising from your use of the Service, including but not limited to data loss, code modifications, or service interruptions.

8. Changes

We may update these terms at any time. Continued use of the Service after changes constitutes acceptance. Material changes will be communicated via email or in-app notification.
